
The proposed bylaws were accepted at the General Meeting on March 19th by members who voted in person and those who voted via Zoom.
The new bylaws proposed by the Board of Directors were created using a template provided by AIA National to model our practices according to AIA National standards and incorporate policies consistent with how the Board has conducted Chapter business in recent years. The previous bylaws had outdated language and policies and described ways of conducting chapter business that predate the current digital age.
The new bylaws identify the governing body of the chapter as the “Board of Directors” and describe actions in ways the Board has conducted chapter business for the last three to fifteen years, including:
- choosing Directors by nomination (not also by election)
- removed language that referred to now-obsolete office procedures
- removed language that described rules and practices that have not been used
- updated rules for Board Meetings and General Meetings to current practices
- updated policies regarding reports, records and announcements to current practices
- maintained any rules/language that reflect current practices
AIA National staff members and the Chapter’s legal representative, Ray Mellon, reviewed and approved the proposed new bylaws.
